Welcome to Ma’am Shoes, LLC a California limited liability company (“Ma’am Shoes” “we,” “us” or “our”)! These Terms of Use (“Terms”) are a contract between you and us and govern your access to and use of our website or services made available through us (collectively, the “Site”). The terms “you,” “your,” and “yours” refer to any person who uses the Site. Please read these Terms carefully before accessing and using the Site.

By using the Site, you accept and agree to be bound by these Terms. If you do not agree to these Terms, you may not use this Site. In addition, when you use any of our services or offerings, you may be subject to additional guidelines and terms applicable to those services or offerings. We reserve the right to amend these Terms from time to time. All amendments will be effective upon the posting of such updated Terms. 4. REVIEWS.
Our Site may provide you an opportunity to provide feedback regarding your Ma’am Shoes experience (“Review”). At our sole discretion we will determine whether to post your Review on the Site. In submitting a Review, you agree to grant us an irrevocable, assignable, worldwide license and sublicense to use your Review on our Site, media advertisements, social media platforms and any other media of our choosing. You will receive no compensation or royalties for the use of your Review. If you submit a Review, you represent and warrant that you own or otherwise control the rights to your Review. You further represent and warrant that such Review is not in breach any of these Terms and Conditions, nor does the Review violate any law or judicial or governmental order. You further represent and warrant that such Review does not constitute or contain software viruses, commercial solicitation, chain letters, mass mailings, or any form of "spam." You may not use a false email address, impersonate any person or entity, or otherwise mislead us as to the origin of any Review. You agree to indemnify and hold us harmless from and against any and all claims arising from or in connection with breach of your representations and warranties in this section 4.

5. INTELLECTUAL PROPERTY RIGHTS.
The Site is owned and operated by Ma’am Shoes. This Site and its entire contents, including visual interfaces, graphics, design, compilation, information, computer code, products, software, services, and all other elements of the Site provided by us (the “Materials”) are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. The Materials on the Site are our copyrighted property.

If you create anything using our Materials, you agree that we exclusively own all right, title and interest in and to such Materials, including without limitation any modifications or derivative work based off of the use of our Materials. You further agree to assign any interest or right you may have in such Materials to us, and to provide information and execute any documents to formalize such assignment.

All trademarks, service marks, and trade names (each, a “Mark”) are proprietary to us. You agree not to use our Marks in connection with any product or service that is not ours in any manner that would likely cause confusion or discredit us or anyone else. All other Marks not owned by us that appear on the Site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by us.

These Terms permit you to use the Site for your personal use only. We grant you a limited license to access and to make personal use of the Site. You agree not to sell, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorized use of the Materials.

8. TERMINATION.
If you violate any of these Terms (which include by reference our Privacy Policy), or otherwise violate an agreement between you and us, we may prohibit you from using or accessing the Site, in our sole discretion.

Your privacy is important to us. Our Privacy Policy is hereby incorporated into these Terms by reference. Please read the Privacy Policy carefully for information relating to our collection, use, and disclosure of your personal information.

10. TESTIMONIALS
All client provided testimonials are authentic. The testimonials presented on our Site are applicable to the individuals depicted only and may not be representative of the experience of others. The testimonials are not paid and are not indicative of future performance or success of any other individuals. We cannot and do not guarantee any results of people utilizing the material or services provided by us on our Site. You understand that your individual results will depend on how much effort you put into our program or services.

11. GOVERNING LAW AND DISPUTE RESOLUTION.
You agree that these Terms and any dispute under these Terms is governed by the laws of California, U.S.A., without regard to its principles of conflicts of law, and you consent to the exclusive jurisdiction of the federal and state courts located in Los Angeles, California U.S.A. You waive any jurisdictional, venue, or inconvenient forum objections.

11. GEOGRAPHIC RESTRICTIONS
Ma’am Shoes is based in the state of California in the United States. We provide this Site for use only by persons located in the United States. We make no claims that the Site or any of its content is accessible or appropriate outside of the United States. Access to the Site may not be legal by certain persons or in certain countries. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

12. MISCELLANEOUS.
These Terms constitute the entire agreement between us relating to your access to and use of the Site. These Terms may not be transferred or assigned by you without our prior written consent. No waiver of any provision of these Terms will constitute a waiver of such provision in any prior, concurrent or subsequent circumstance. These Terms are for the benefit of the parties and do not confer third party beneficiary rights upon any other person or entity.

1. PROMOTION DESCRIPTION

The Win Free Shoes (“Giveaway”) begins on August 1, 2021 AT 12:00 am PST and ends on August 31, 2021 AT 11:59 am PST (the “Promotion Period”).

The sponsor of this Giveaway is Ma’am Shoes (“Sponsor”). By participating in the Giveaway, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, which shall be final and binding in all respects. Sponsor is responsible for the collection, submission or processing of all entries and the overall administration of the Giveaway. Entrants should look solely to Sponsor with any questions, comments or problems related to the Giveaway. Sponsor may be reached by email at hello@maamshoes.com during the Promotion Period.

2. ELIGIBILITY

The Giveaway is open to residents of the United States who are at least 18 years of age. Sponsor, and their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies and each of their respective officers, directors and employees (the “Promotion Entities”), are ineligible to enter the Giveaway or win a prize. Household Members and Immediate Family Members of such individuals are also not eligible to enter or win. "Household Members" shall mean those people who share the same residence at least three (3) months a year. "Immediate Family Members" shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses. This Sweepstakes is subject to all applicable federal, state and local laws and regulations and is void where prohibited or restricted by law.

3. PRIZES

Only one prize per person and per household will be awarded. Gift cards and gift certificates are subject to the terms and conditions of the issuer. Prizes cannot be transferred, redeemed for cash or substituted by winner. Sponsor reserves the right in its sole and absolute discretion to award a substitute prize of equal or greater value if a prize described in these Official Rules is unavailable or cannot be awarded, in whole or in part, for any reason. Sponsor makes no representation or warranty concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations may apply. Sponsor will not replace any lost or stolen prize items.

This Sweepstakes is open to residents of the United States and prizes will only be awarded and/or delivered to addresses within the United States. All federal, state and/or local taxes, fees, and surcharges are the sole responsibility of the prize winner. Failure to comply with the Official Rules will result in forfeiture of the prize.

4. HOW TO ENTER

Enter the Giveaway during the Promotion Period online by visiting the Ma’am Win Free Shoes Giveaway, which can be found on the following website at www.maamshoes.com.

Automated or robotic entries submitted by individuals or organizations will be disqualified. Internet entry must be made by the entrant. Any attempt by entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations, logins or any other methods, including, but not limited to, commercial contest/sweepstakes subscription notification and/or entering services, will void entrant's entries and that entrant may be disqualified. Final eligibility for the award of any prize is subject to eligibility verification as set forth below. All entries must be posted by the end of the Promotion Period in order to participate. Sponsor's database clock will be the official timekeeper for this Giveaway.

5. WINNER SELECTION

The winner(s) of the Giveaway will be selected in random drawing(s) from among all eligible entries received throughout the Promotion Period. The random drawing will be conducted monthly throughout the Promotion Period by Sponsor or its designated representatives, whose decisions are final. Odds of winning will vary depending on the number of eligible entries received.

6. WINNER NOTIFICATION

The winner(s) will be notified by email at the email address provided in the entry information within ten (10) business days after each random drawing. Each potential prize winner must accept the prize by email as directed by Sponsor within thirty (30) days of notification. Sponsor is not responsible for any delay or failure to receive notification for any reason, including inactive email account(s), technical difficulties associated therewith, or winner’s failure to adequately monitor any email account. Any winner notification not responded to or returned as undeliverable may result in prize forfeiture. No substitution or transfer of a prize is permitted except by Sponsor.

7. PRIVACY

Any personal information supplied by you will be subject to the privacy policy of the Sponsor.

8. LIMITATION OF LIABILITY

Sponsor assumes no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Giveaway; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, camera, computers or providers utilized in any aspect of the operation of the Giveaway; (d) inaccessibility or unavailability of any network or wireless service, the Internet or website or any combination thereof; (e) suspended or discontinued Internet, wireless or landline phone service; or (f) any injury or damage to participant’s or to any other person’s computer or mobile device which may be related to or resulting from any attempt to participate in the Giveaway.

If, for any reason, the Giveaway is not capable of running as planned for reasons which may include without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Giveaway, the Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Giveaway in whole or in part. In such event, Sponsor shall immediately suspend all drawings and prize awards, and Sponsor reserves the right to award any remaining prizes in a manner deemed fair and equitable by Sponsor. Sponsor shall not have any further liability to any participant in connection with the Giveaway.

9. WINNER LIST/OFFICIAL RULES

To obtain a copy of the list of winner(s) or a copy of these Official Rules, send your request along with a stamped, self-addressed envelope to Ma’am Shoes cc: Win Free Shoes Giveaway at 369 S. Doheny Drive #267, Beverly Hills, CA 90211. Requests for the names of the winner(s) must be received no later than thirty (30) days after the Promotion Period has ended.
